Terms and conditions

In order to use our services, the following terms and conditions apply. By using Renovation Compass, you agree to accept the following terms and conditions.

Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa.

Definitions

Clients: We refer to clients as users who want to renovate their home.

Partners: We refer to partners as users who offer renovation services to clients.
Users: If we refer to users, we mean both clients and partners, who use our platform.

Account: In order to fully use our services, users sign-up to create a user account.

Credit: A credit refers to the deposit of a partner in their account. Partners can purchase credits at the indicated prices. For each match with a client, a credit is being deducted from the credit balance.

Inquiry or project: Clients who are looking to renovate, can create an inquiry (also referred to as project) on our platform, e.g. by filling out a form or survey and providing details about their project as well as contact information.

Lead or match: When a client creates an inquiry and is connected to a partner. There are several criteria in order for a client to match to a partner, e.g. if the client and partner are in the same region and others. As we strictly limit the matches between partners and clients, and also try to pick the best fitting partners for each project based on data, there is no guarantee that clients and partners might match.

Lead price or match price: For each match, one credit is deducted from the partner’s credit balance. The lead price (or match price) is the price of one credit.

Platform: We refer to platform as the website renovation-compass.com, including all subdomains as well as apps.

Profile: A profile refers to the pages on our platform, on which a partner or client presents themselves.

Message: A message refers to the exchange of communication through our platform.

Service: The services our platform offers to both clients and partners.

Agreement: The agreement between Renovation Compass and partners, and between Renovation Compass and clients, of which these terms and conditions form an integral part.

Renovation Compass: The platform, which offers to connect clients and partners online. Renovation Compass itself does not offer renovation services.

Terms and conditions for all users

1. General

1.1 These terms and conditions apply to all agreements, regardless of how they are concluded, and all other possible legal acts between Renovation Compass and users (partners and clients).

1.2 Renovation Compass is at all times entitled to adjust or add to these terms and conditions. Renovation will communicate substantial changes to users at least 30 days before the changes take effect. If a user does not wish to agree to the changes, the user can cancel their agreement with Renovation Compass and close their accounts until the changes come into effect.

1.3 Deviations from the terms and conditions are only valid if they have been explicitly agreed in writing or via email between Renovation Compass and the user.

1.4 In the event that any of the provisions of these terms and conditions are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of these terms and conditions. Renovation Compass will then adopt a new provision to replace the invalid / annulled provision, whereby the scope of the invalid / annulled provision will be taken into account as much as possible.

2. Formation of the agreement

2.1 Agreements can be concluded in writing or electronically, or in any other way. Renovation Compass decides - entirely at its own discretion - which method of formation of an agreement it will and will not agree with. The agreement between the parties is binding, regardless of the way in which it is concluded.

3. Services

3.1 Renovation Compass offers a platform, which serves the purpose of connecting clients looking to renovate with partners who offer renovation services. Renovation Compass only has a facilitating role and can therefore not be held responsible for any act or omission between partners and clients.

3.2 Renovation Compass is entitled at all times to adjust and / or terminate (the content and scope of) its services.

3.3 Renovation Compass is not liable for any content on our platform, which is generated by our users. This includes messages, inquiries/projects, reviews, profile information, and any other content or communication between users. Instead, users are responsible for the accuracy and completeness of this information. Neither does Renovation Compass bear responsibility for the fulfillment of inquiries, any payment obligation, the correct execution of the work to be performed or the the quality of the execution. Both partners and clients act on their own risk.

3.4 Renovation Compass offers information posted on the platform, to the extent permitted by applicable law, on an "as is" basis, excluding any expressed or implied warranties, promises or guarantees of any kind. In particular, Renovation Compass does not guarantee: (a) that the information on the platform is correct, complete, suitable, current and not unlawful, including the information provided by users; (b) that the Platform will work without interruption, be free of viruses, trojans and other errors and / or defects, and that any defects will be remedied; and

(c) that third parties will not use the platform and / or the systems of Renovation Compass unlawfully.

3.5 Renovation Compass is entitled to (temporarily) put the platform out of use or to limit it in the event that this is necessary or desirable for maintaining or adjusting the platform, without this resulting in any right to compensation against Renovation Compass. Renovation Compass is not obliged to inform users about any maintenance or adjustments to the platform and its features in advance.

4. Use of the service and provision of information

4.1 Users are responsible and liable for the content and data published by them on the platform. Users guarantee that the data is correct, up-to-date and reliable, does not violate the applicable laws and regulations and is not unlawful. In addition, users agree they will not misuse other users’ information and they will not harm the interests and good name of Renovation Compass.

4.2 The following information may in any case not be placed on the platform:

(a) material that conflicts with any applicable laws or regulations or with these terms and conditions;

(b) material that refers to the provision of illegal services or services that may in any way cause damage to the property of others;

(c) material that infringes intellectual property rights, privacy rights or that violates other rights of Renovation Compass or third parties;

(d) material that in the opinion of Renovation Compass is contrary to good morals or good taste, is violent or incites violence or hatred of another person or others;

(e) material that mentions or refers in any other way to another service, website or platform that is competitive or comparable with the service or the platform;

(f) an advertisement that aims to (in)directly promote a company;

(g) material that comes from a temporary employment agency;

4.3 The use of the (personal) data obtained by the user through the platform may only be used for the purpose for which they were provided. It is not permitted to process this data for any other purpose, including - but not limited to - any form of unsolicited communication (spam). Nor is it permitted to collect personal data (including email addresses) from users for any purpose.

4.4 If the user acts against to the provisions of article 4.3 in these terms and conditions, Renovation Compass may, without further warning or notice and without the need for judicial intervention, charge an immediately payable fine of EUR 1,000 (one thousand euros) per event, whereby the use of one personal data and one single time counts as one event. This does not limit Renovation Compass’ right to take other measures at our disposal against the partner and / or to claim compensation.

4.5 Renovation Compass reserves the right to change and / or shorten the information provided by users. Renovation Compass also reserves the right - but is not obliged to - to refuse or remove messages, profile changes, matches, reviews and other data from the platform, for example because they are incorrect or unreliable and are in violation of the law or are unlawful towards third parties, without this in any way leading to any right of the user to compensation.

4.6 Agreements between the client and the partner only come into effect when the client has explicitly confirmed this to the partner. Renovation Compass is not reliable for any agreements between the client and the partner, nor does Renovation Compass stand between clients and the partner. Therefore, Renovation Compass cannot control the quality, safety or legality of the assignments and / or work, the accuracy of the offers, the authority of the clients to have work carried out and / or the competence of partner to carry out that work to be carried out. Users will at any time protect, indemnify and hold Renovation Compass harmless from and against any third-party claim related to such matters.

4.7 It is not permitted to place an advertisement or other messages on the platform for the purpose of recruitment for permanent employment, promotion activities, research and / or programs.

5. Account and provision of information by the user

5.1 In order to be able to use the services provided by Renovation Compass, users must provide the information requested.

5.2 Renovation Compass may request additional information from users from time to time. Users will provide this information upon first request. If the user does not provide the additional information within 14 (fourteen) days of the request, Renovation Compass has the right to block the account until the requested information has been provided.

5.3 Renovation Compass is entitled to refuse or remove an account and / or a message, review, or other information by the user if there are good reasons to do so. A well-founded reason may be that the user does not meet the quality criteria of Renovation Compass, that there is a suspicion that the user is acting contrary to the agreement or these terms and conditions and / or that the user has previously misused the platform.

5.4 Users are responsible to protect their account from being accessed by other people or parties. Users are liable for any action taken from their account and will at any time protect, indemnify and hold Renovation Compass harmless from and against any third-party claim with regard to damage due to any action taken within the account.

5.5 Renovation Compass is entitled to change the password or require a password change if this is necessary for security reasons or in the interest of the functioning of the service.

6. Exclusion

6.1 Renovation Compass reserves the right to terminate the agreement and to exclude a user from any further use of the platform and our services, without any prior notice, by blocking and / or removing their account, without being obliged to repay any fees that have already been collected, if there are good reasons to do so. This is in any case, but not exclusively, the case if: (a) the user acts contrary to these terms and conditions in any way;

(b) the user infringes the (intellectual property) rights of third parties;

(c) Renovation Compass has a justified suspicion that the user is guilty of fraud, scam, forgery and / or other criminal offenses;

(d) the user runs an employment agency or a comparable enterprise;

(e) the user places a review of an assignment that has been carried out by the user themselves or if a partner otherwise falsely acts as a client on the platform;

(f) the user sends commercial or other messages via the platform for a purpose that can reasonably be assumed to be different than the platform is intended for, and / or acting in any other way contrary to these terms and conditions;

(g) the user acts contrary to the applicable laws and regulations; and

(j) the user treats employees or other affiliates of Renovation Compass, or other users improperly through libelous, defamatory, vulgar, obscene or racist language.


7. Reviews

7.1 Users may have the option to leave ratings and reviews on the platform. When placing a review, users must comply with the reviews conditions as published on the platform.

7.2 Renovation Compass has no influence on the content of the review and cannot be held responsible for the content of reviews. Renovation Compass is not liable for any damage resulting from the content of a review.

7.3 Renovation Compass is entitled to remove a review at any time. It may also, but not exclusively, exercise this right if it appears that the review is incorrect, unreliable or unmistakably unlawful, or otherwise does not meet the reviews conditions as published on the platform.

8. Privacy

8.1 Renovation Compass processes personal data of users to provide services and related activities and in accordance with GDPR and subsequent legislation on the protection of personal data.

8.2 The privacy statement of Renovation Compass, as published on the platform, applies to this processing of personal data.

9. Intellectual property rights

9.1 All intellectual property rights with regard to the platform belong exclusively to Renovation Compass and / or its licensors, with the exception of the material supplied by the users messages, reviews, proposals or otherwise.

9.2 Users are not permitted to make the platform or any content thereof available to third parties in any way without written permission from Renovation Compass, to reproduce, distribute, send, or in any other way to be processed in another document. This includes, among others, that users are not permitted to request and use significant amounts of data from our database or servers without prior written permission from Renovation Compass and / or non-substantial parts of data systematically and repeatedly retrieved from our database our servers.

9.3 Users guarantee that the information placed by them on the platform, including messages, reviews and proposals, does not infringe any intellectual property rights of third parties. Users will at any time protect, indemnify and hold Renovation Compass harmless from and against any third-party claim related to the information they place on the platform, including any claim that this information infringes any intellectual property rights of third parties.

10. Force majeure

10.1 Renovation Compass is not obliged to fulfill any obligation if it is prevented from doing so due to force majeure. Force majeure also includes a non-foreseeable shortcoming of suppliers and / or other third parties that Renovation Partners uses, hacks, cyber crime and internet disruptions.

11. External content and links

11.1 The platform contains links (e.g. a hyperlink, banner or button) to other websites and third parties. Renovation Compass has no control over these content or websites and is not responsible for their content, terms and policies.

12. Disputes

12.1 These terms and conditions, all agreements between Renovation Compass and users, every use of the platform and all related disputes (on whatever grounds) are governed by Austrian law.

12.2 All possible disputes arising from or related to these terms and conditions, the agreement and / or the use of the platform, based on any ground whatsoever, will be submitted exclusively to the competent court in Vienna, Austria.

Terms and conditions for clients

1. General

2.1 Renovation Compass explicitly rejects any general terms and conditions of the client.

2.2 The terms and conditions for clients come into effect in addition to the terms and conditions for all users.

2. Use of the service and provision of information

2.1 The client guarantees that all data, including but not limited to name, telephone number, address data and email that they provide in the context of the service, is complete, correct and current and that they will use the service exclusively for themselves.

2.2 The client will only post and send messages via the platform with the aim of publishing a project and (possibly) having work done by a partner. Clients will not post messages for any purpose for which the service is apparently not intended and will refrain from sending unwanted and / or unsolicited messages to users.

2.3 By offering data on the platform, including but not limited to messages, quotes, offers, information about work and products, clients give permission to publish and use this data on the platform and guarantee that they are authorized to give such permission. Clients are aware that being matched with partners depends on a number of factors and that there is no guarantee or right to claim to be matched or receive any offers or answers from partners.

2.4 The following information may in any case not be placed on the platform:

(a) material that is contrary to article 2.3 in these terms and conditions for clients.

Terms and conditions for partners

1 General

1.1 Renovation Compass explicitly rejects any general terms and conditions of the partner.

1.2 The terms and conditions for partners come into effect in addition to the terms and conditions for all users.

2. Formation of the agreement

2.1 As partners are seen as a business, any rules or laws applicable for consumers do explicitly not apply.

3. Use of the service and provision of information

3.1 Only partners who are allowed to carry on a trade are allowed to register on the platform as a partner. This does not include employment agencies and similar companies.

3.2 The partner guarantees that all data, including but not limited to the name, address data and e-mail that they provide on the platform, is complete, correct and current and that they will use the service exclusively for themselves. In addition, the partner guarantees: (a) that they are authorized to use the services;

(b) comply with applicable laws and regulations during the whole time using the platform;

(c) that they are registered in the Chamber of Commerce and that this registration will be maintained during the term of the agreement and that it is related to the field in which the partner works;

(d) that they will (continue to) comply at all times with the quality requirements applicable for partners that Renovation Compass asks for, which will be communicated by Renovation Compass via the platform or in another way to the partners. Renovation Compass will always communicate substantially new quality criteria to partners before they come into effect and grant partners a reasonable period of time to enable them to meet the new quality requirements; and

(e) that they will (continue to) comply at all times with the rules for communication communicated on the platform. The rules for communication can be adjusted by Renovation Compass from time to time.

3.3 Partners may only post and send messages via the platform or other forms of communication with the aim of obtaining an assignment to carry out renovation work for a client. Partners are strictly prohibited to send messages or communicate in any other ways a content for any purpose for which the service is not intended and will refrain from sending unwanted and / or unsolicited messages to clients. Not complying with this rule will strictly lead to the closing of the partners’ account and exclusion from any further services.

3.4 By offering data on the platform, including but not limited to messages, quotes, offers, information about work and products, partners give permission to publish and use this data on the platform and guarantee that they are authorized to give such permission. Partners are aware that the matching process with clients depends on a number of factors and that they cannot claim a certain number of matches.

3.5 The following information may in any case not be placed on the platform:

(a) material that is contrary to article 3.3 in these terms and conditions for partners.

3.6 Partners agree to not share contact details (including the name of the business, the website address, or any other information which would allow clients to directly get in touch with partners) on their profile until they are matched with clients. Partners must not attempt to bypass the matching by providing contact details or in any other way.

4. Exclusion

4.1 Renovation Compass reserves the right to terminate the agreement and to exclude a partner from any further use of the platform and our services, without any prior notice, by blocking and / or removing their account, without being obliged to repay any fees that have already been collected, if there are good reasons to do so. This is in any case, but not exclusively, the case if:

(a) the partner attempts to bypass the purchase of credits in any way to get in contact with clients;

(b) the partner does not (no longer) meet the quality requirements set by Renovation Compass;

5. Liability of Renovation Compass

5.1 Renovation Compass is only liable for direct damage by the partner. Direct damage is exclusively understood to mean the costs for the partner to repair or remedy the shortcoming of Renovation Compass, so that the performance of Renovation Compass does comply with the agreement, as well as reasonable costs to prevent or limit such damage and reasonable costs to determine the cause and extent thereof.

5.2 The total liability of Renovation Compass is never more than the total compensation that the partner paid to Renovation Compass for the service in the twelve months before the event which lead to the damage, with a maximum of 500 (five hundred) euros.

5.3 Any liability of Renovation Compass for indirect damage, including but not limited to consequential damage, loss of profit and loss of turnover, is excluded. In any case, Renovation Compass is not liable for damage to the partner caused by third parties, whether or not they use the platform and / or the services.

6. Duration and termination of agreements

6.1 Unless provided otherwise in these terms and conditions, or the parties have explicitly agreed otherwise, the agreement between Renovation Compass and partners is entered into for an indefinite period.

6.2 The Agreement can be canceled by the partner at any time by sending an email to mail@renovation-compass.com, asking for the account to be deleted. Renovation Compass might also offer an option to delete an account directly on the platform.

6.3 Renovation Compass has the right to cancel the agreement at any time, given a notice period of one month. Renovation Compass will communicate the cancellation via the account or via email to the partner.

6.4 If the partner is in a state of bankruptcy, applies for a moratorium, ceases operations, or acts contrary to these terms and conditions or other provisions of the agreement, Renovation Compass has the right to terminate the agreement with immediate effect and without further notice.

6.5 The termination of the agreement, for whatever reason, does not relieve the partner of the obligation to pay the amounts already due to Renovation Compass.

7. Rates and fees

7.1 One credit is being deducted for each match with a client from the partner’s credit balance. The price of one credit depends on the type of package or subscription purchased by the partner and may change from time to time.

7.2 Renovation Compass offers a refund policy, under which the partner can, under certain circumstances, request a refund of unused credits (which have not yet been deducted from the partner’s credit balance). The refunded price per credit will be equal to the price of the credit on the date of purchase. To request a refund, please contact us.

7.3 All prices and rates stated by Renovation Compass are in euros (€) and are exclusive value added tax (VAT) and any other government taxes or fees, unless explicitly stated otherwise in writing.

7.4 Renovation Compass is entitled at all times to adjust its rates or its rate structure without further notice.

8. Payment

8.1 Renovation Compass offers a variety of payment options. Amounts due are immediately charged. In the case of chargebacks, for example with an insufficient balance, Renovation Compass is entitled to charge extra administration costs.

8.2 If in case of chargebacks the partner does not pay the amount due (plus interests and fees) within a reasonable period, Renovation Compass may hand over the claim for collection. In that case, the partner is, in addition to payment of the principal sum (plus interests and fees) due, obliged to pay all additional costs, including possibly judicial and / or other legal costs.

8.3 All payments made by the partner to Renovation Compass are deducted from the oldest outstanding invoices from Renovation Compass, regardless of any other indication by the partner.
